Position Summary:
Contracts management and administration represents a vital role within the organization. The candidate will be a valued member of Botrista legal team and will be an active party in our dynamic negotiation proceedings, especially focusing on commercial contracts. As the ideal candidate, you must have at least 3 years of commercial contracts administration experience in a law firm or corporation;
excellent organizational, analytical and written/verbal communication skills;
strong legal research skills;
attention to detail;
refined ability to spot errors and inconsistencies;
a strong commitment to using the internal legal department to grow the company;
ability to handle multiple priorities and deadlines;
ability to translate the needs of business teams into legal requirements;
and ability to work in a fast paced, cross-functional team atmosphere.
Requirements
Responsibilities:
Interface with outside counsel, foreign and domestic business units, and other sources to ensure binding agreements with customers, vendors, and contractors, achieve the Company’s goals and objectives.
Assist/facilitate the end-to-end contracting process not limited to:
drafting, reviewing, negotiating, executing, and archiving a variety of legal documents and agreements, including sales/purchasing agreements, MSAs, NDAs, vendors agreements, consulting agreements, licensing agreements, statements of work.
Proactively analyze existing legal agreements to identify potential gaps and optimize contract terms working with external counsel.
Ensure that executed agreements are communicated to all relevant parties to provide contract visibility and awareness and support effective implementation.
Support the development and implementation of new contract policies and processes. Monitor compliance by Company employees with established policies and procedures. Advice other Departments in practices and procedures relating to the contracts process.
Work closely with Sales, Channel, and Finance teams to timely meet demands of stakeholders.
Work effectively and proactively with external consultants and internal management departments on potential legal risks while providing creative solutions to support business goals.
Assist with contract lifecycle management for corporate utilizing Ironclad platform.
Conduct legal research for different Departments and prepare Memoranda.
Support the resolution of contract inquiries, issues, and disputes between the Company and external customers or contractors.
Assist with management of Company insurance policies, such as D&
O, Workers comp, GeneralLiability, and provide other Departments with guidance on the Company liabilities.
Perform day to day legal document management through Contract Management System, monitoring deadlines, revision, optimization, classification and security to ensure company’s legal documents are archived properly and responsibility and obligations are complying with regulations and requirements.
Other duties as needed.
Minimum Qualifications:
Bachelor’s Degree or Paralegal Certificate from an ABA approved program.
Prior experience with a Contract Management System.
Ability to maintain confidentiality and use the utmost discretion when privy to sensitive information.
Must have U.S. work authorization.
Preferred Qualifications:
Prior experience with Ironclad and Salesforce.
Prior experience in the beverage industry is a plus.
Possess negotiation experience on commercial contracts.
Salary Range:
The base salary range is $95,000 - $130,000
Plus bonus and stock options.
