POSITION OVERVIEW
Corporate Counsel will report to the president of (the Company). The responsibility of the Corporate Counsel will be managing and engaging in a wide range of legal matters, with an emphasis on commercial contracts of Solar &
Battery Energy Storage System. The Corporate Counsel will provide effective and practical legal advice on complex transactions, manage the legal function of the projects, and be responsible for documentation of such transactions. The Corporate Counsel will be directly involved in the negotiation of complex business transactions and critical contracts.
RESPONSIBILITIES
Provide effective counsel to the management and senior executives of the Company on major business transactions, including review relevant legal documents, and manage renewable energy-related projects throughout their late development, construction and to operation phases.
Manage and engage in a wide range of legal matters, including commercial agreements, entity formation and management, HR/employment, real estate, dispute resolution, and daily reactive and proactive legal needs, and give accurate and timely counsel to executives in a variety of legal topics.
Responsible for all legal aspects of commercial contracting, including drafting, review, and negotiation of contracts.
Research and evaluate different risk factors regarding business decisions and operation, and provide an action plan.
Participate in the drafting and development of Company policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
Ensure Companys conducts of its business in compliance with applicable laws and regulations.
Management and evaluation of Companys outside counsels.
EXPERIENCE
The successful candidate will have the following experience:
Experience in general corporate practice required.
Exposure to and/or familiarity with reviewing, drafting and negotiating:
renewable energy project contracts (including offtake agreements, EPC contracts, and O&
M contracts as well as general corporate matters).
Experience coordinating across various internal groups, e.G., business, legal, and compliance departments.
REQUIRED QUALIFICATIONS
Law degree holder and admitted to practice in law in at least one of the U.S. jurisdictions and qualified to practice as in-house counsel in the state of California.
At least five (5) years of transactional experience as an attorney in a law firm or in-house legal department.
Ability to meet tight deadlines while simultaneously prioritizing multiple projects.
Exceptional communication and interpersonal skills.
