SCOPE AND ESSENTIAL RESPONSIBLITIES
Responsible for assisting with draft preparation and review of vendor contracts and other ancillary documents, including maintaining all consumer agreements for the Company. Prepares and updates client contracts and works closely with Operations and IT in maintaining client contract database.
Reviews marketing collateral and sweepstakes for adequate disclosures, statement accuracy and compliance with FTC guidelines, as well as adherence to brand guidelines under the supervision of Attorneys.
Assists with mergers and acquisitions (M&
A) and other material transactions. Compiles and manages the due diligence process and maintains data rooms. Prepares, revises and organizes transaction documents, and facilitates closings, including by maintaining closing checklists and corresponding with Sellers.
Reviews product labels for compliance with various regulatory bodies, and files appropriate notifications and registrations with national and or international regulatory
Supports Attorneys in the overall management of the Companys intellectual property (IP) portfolio and assist with the franchise disclosure process and administration of Franchise Agreements and related documents.
Provides support to Attorneys across all legal functions, as necessary and assigned.
MANAGEMENT AND COLLABORATION
Liaisons between Legal and other Company departments as well as outside agencies and vendors
Collaborates with Marketing, Sales, Operations and senior leadership to ensure matters are completed timely and accurately
Collaborates with various internal teams in support of M&
A transactions, particularly in the management of due diligence
Collaborates with Marketing and Operations teams when reviewing collateral and requesting specimens for IP filings
KEY MEASURES OF SUCCESS
Ensures protocol for assignment is maintained
Ensures target turnaround times for matters are met
Maintains and or improves IP disclosure-to-filing cycle time and facilitates acquisition integration cycle time
Bachelors degree in a related field (Paralegal study certification a plus)
Four to six years transactional legal experience in a corporate or firm environment
Proficient in MS Office Suite (Outlook, Word, Excel, PowerPoint) and Adobe Acrobat
Excellent communication skills (verbal, written and interpersonal)
Attention to detail and accuracy
Ability to summarize and synthesize information and or regulations, as needed
Proactive mindset and ability to anticipate departmental and or Attorneys needs
Highly organized with ability to prioritize work as necessary and handle multiple tasks under tight deadlines
Ability to discretely handle highly confidential and proprietary information
Ability to interact effectively with employees at all levels of the organization
Ability to work independently and as part of a team, displays a cooperative work style and positive attitude with respect to problem solving
Bilingual (fluency in Spanish or French preferred)
